The Classic English LTD
This is a fully-fledged limited company. Simple registration with the name and data of your choice, including the fees of the English Companies House and our own costs.
Registration of the Limited Company of your choice with:
- The name of your choice
- The director of your choice
- The shareholders of your choice
- Sending of the Certificate of Incorporation via email
The registration usually takes place within less than 24 hours after you have provided all the required data.
The delivery of the AuthCode is not part of this order.
However, we regularly send it to you free of charge as one of our many goodwill services after the incorporation invoice has been paid and if you send us a corresponding request.
In principle, as the director or managing director of the company, you are directly responsible for all company matters.
This explicitly includes the timely submission of the relevant reports to Companies House or the filing of tax returns.
The filing of accounts assumes that you do not generate any revenue in the UK and that your profits are made outside of the UK.
If you wish your new company to be registered without the "LTD" or "Limited" suffix (e.g. with "UG", "GMBH" or "AG"), then it is not a "LTD by Shares" but a "LTD by Guarantee." However, from an administrative and daily handling perspective, it is treated no differently.
For fully nominee (trustee-based) incorporations, the company is established by one of our employees who has a UK residential address. This avoids lengthy KYC (Know Your Customer) procedures required by some third-party providers.
In May 2024, Companies House made significant changes to UK company law, primarily aimed at combating money laundering.
As of May 2024, there are new regulations concerning the identification checks of directors, secretaries, owners, and beneficial owners, as well as a whole range of security measures to ensure that accurate information is submitted to Companies House.
These changes are just the beginning and will likely be expanded further.
In addition, from May 2024, Companies House has drastically increased all prices for company formation and management (in some cases by more than 100% compared to previous rates).

We would also like to mention that through our separate website www.einfach-llc.de, you can form American LLCs in all 50 states. We mention this because LLCs from places like Wyoming are suitable as shareholders and also as PSCs (Persons with Significant Control) for a UK LTD.
We also want to point out that, if you use your company as an investment vehicle, we are happy to update the shareholder structure in the register when new investors join or others leave.
This way, investors are always informed about their participation and can see it publicly on the UK Companies House register.
We usually carry out such updates via a new Confirmation Statement, which you can initiate through us either when due or as needed if you want to publish changes.
